DoorDash is in advanced talks to acquire grocery-delivery company Instacart in a deal valued at approximately $17 billion, Reuters reported on Oct. 26, 2026. No agreement has been confirmed, and sources cautioned that negotiations could still fall apart.
The reported deal would mark a significant consolidation in online delivery, arriving as both companies face intensifying competition from Amazon and Walmart. It also revives a pairing that collapsed once before.
The Amazon Problem Neither Company Can Solve Alone
Analysts say the proposed combination is driven by the need to compete with vertically integrated retail giants, though no deal terms have been confirmed.
Acquiring Instacart would give DoorDash access to an established grocery marketplace and the retailer partnerships that come with it. Instacart, legally incorporated as Maplebear, would gain DoorDash’s broader delivery network and its large consumer base.
Wedbush analysts described the combination as strategically useful for competing against Amazon and Walmart, according to MarketWatch. Bernstein analysts went further, characterizing the potential platform as an “indispensable solution,” per the same MarketWatch report.
Those assessments reflect analyst opinion, not confirmed company strategy. Cross-selling restaurant, grocery, and convenience orders through a single app is one possibility analysts have raised. Bundling memberships across both platforms is another. Neither company has announced either plan.
Separate delivery and restaurant memberships create real friction for users. A combined platform could, in theory, eliminate that redundancy, though no integration plan has been announced.
A Deal That’s Been Here Before
Antitrust concerns derailed earlier talks between the two companies in 2021, and regulatory risk remains a central uncertainty for any new agreement.
This is not the first time DoorDash and Instacart have explored a transaction. The two companies reportedly held advanced talks to acquire discussions in 2021, but antitrust concerns contributed to those talks collapsing, according to Reuters.
Instacart also held preliminary discussions with Uber before those conversations went inactive, Reuters reported. By the time Reuters published its Oct. 26 report, DoorDash had emerged as the active party.
A combined DoorDash and Instacart would overlap across restaurant, convenience, and grocery delivery. That broad footprint is likely to draw antitrust scrutiny. Which agencies would review the deal, and what remedies might be required, cannot be determined until a transaction is formally announced.
Investors registered the uncertainty immediately. Instacart shares closed 7.9% higher on Oct. 26 while DoorDash shares fell 6.1% during the same session, per MarketWatch. The divergence suggests investors were weighing Instacart’s takeover premium against concerns about DoorDash’s costs and regulatory exposure. Deal structure has not been disclosed. Whether it would involve cash, stock, or a combination, along with any financing terms or breakup fee, remains unknown.
What It Could Mean for You
Consumers could see real benefits from a unified platform, but consolidation also carries risks that remain unconfirmed at this stage.
Consumers could benefit from a single membership covering both restaurant and grocery delivery, and broader merchant relationships could expand your available selection. Delivery coverage could also improve if the companies’ logistics systems were integrated.
Consolidation carries real risks, though. Fewer independent platforms generally means reduced competitive pressure on pricing, and subscription costs could shift after integration. Retailers and restaurants that currently negotiate separately with each platform could face altered economics under a combined operator. None of these outcomes has been confirmed.
Watch for a formal announcement, which Reuters indicated could come within days, though timing remains uncertain. How both companies address the 2021 antitrust history will likely determine whether this deal closes at all.
